Partner Programme Terms

1. About these terms
These terms apply to anyone we accept into the Gafferly Partner Programme (“you”, a “Partner”). They are an agreement between you and Gafferly Group Ltd(“Gafferly”, “we”, “us”), a company registered in England and Wales under company number 17348010, registered office 29 Swan Road, Southall, England, UB1 3JT.
They sit alongside our Terms of Service, which still apply to your own use of Gafferly. If the two conflict on anything to do with the programme, these terms win.
2. Joining
- The programme is by invitation. We decide who joins and can decline anyone without giving a reason.
- You need your own Gafferly account. Your partner code, link and earnings live in that account.
- You must be at least 18. If you join on behalf of a business, you confirm you can bind it, and “you” means that business.
3. Your code and your link
- We give you a partner code and a link. A firm counts as referred by you when it starts a new Gafferly account using your link or by entering your code on the sign-up page.
- The code has to be used at sign-up. We cannot add it to an account afterwards, and an account that already exists cannot be moved to you.
- Each firm can only be referred by one Partner.
- You cannot refer yourself, your own business, or any business you own, control or work for. Accounts like that are not counted, and we may cancel commission on them if we find out later.
- If your code is paused, new sign-ups are not linked to you while it is paused.
4. Commission
- You earn a percentage of the subscription fees we actually receive from each firm you referred, for a set number of months. The standard deal is 20% for the first 12 monthsof paid subscription, counted from the start of the firm’s first paid billing period. Your own rate and term are shown on your Partner earnings page, and that is what applies to you.
- Commission is worked out on what the firm paid, before VAT or any other tax.
- No commission is earned on free trial periods, on amounts refunded or charged back, or on amounts we never receive.
- No commission is earned on payments made while your code is paused, or after your agreement ends.
- If we change your rate, the new rate applies to payments from then on. Commission already earned keeps the rate it was earned at.
5. Holding period and payouts
- Each commission amount is held for 30 days after the firm pays, in case the payment is refunded or disputed. After that it is ready to be paid to you.
- We pay cleared commission by bank transfer, once a month. We will ask for your bank details before your first payout.
- If a payment is refunded or charged back after we have already paid you commission on it, we take that commission off your next payout.
- Your Partner earnings page shows what is on hold, what is ready, and what we have paid you. Tell us within 60 days if you think something is wrong.
6. Tax
- You are responsible for declaring and paying any tax due on what you earn.
- Commission is a fixed amount and includes any VAT you may have to account for on it. We are not currently VAT registered.
7. Free months
- We may give you a number of free months on your own Gafferly subscription. They start after any time you have already paid for or any running trial.
- When they end, your subscription carries on and is charged as normal unless you cancel before then.
- Free months have no cash value, cannot be transferred, and end if your agreement ends for a breach of these terms.
8. How you promote Gafferly
- Always make it clear that you are a Gafferly partner and earn from referrals, in line with the ASA’s rules for influencer marketing (for example by labelling posts as an ad).
- Only say things about Gafferly that are true and up to date. Do not promise features, prices or results we do not offer.
- Do not send unsolicited emails or texts, or contact people in any way that breaks UK marketing law (PECR).
- Do not bid on “Gafferly” or similar search terms in paid search ads, and do not use domains, accounts or ads that could be mistaken for ours.
- Do not offer cash, discounts or anything else in return for someone signing up with your code unless we have agreed it in writing.
- Do not post your code on coupon or voucher sites.
9. What we share with you
So you can see what you have earned, your earnings page shows a limited view of each firm you referred: a partly hidden version of its name, when it joined, whether it is on a trial or paying, and the payments your commission is based on. Treat this as confidential. Do not try to identify the firms or contact them about it.
10. Pausing and ending
- Either of us can end your partner agreement at any time by telling the other.
- We can pause your code or end your agreement straight away if you break these terms, or if we reasonably suspect fraud or abuse.
- When your agreement ends normally, we still pay commission earned on payments we received before it ended, once it clears.
- If it ends because you broke these terms or because of fraud, any commission not yet paid is cancelled.
- If your own Gafferly account is closed, your partner agreement ends with it.
11. Changes to the programme
We may change these terms or the programme. We will give you at least 14 days’ notice by email of any change that reduces what you earn. If you do not agree, you can end your agreement. Changes never reduce commission already earned.
12. Our relationship and liability
- You are independent. Nothing here makes you our employee, agent or partner in a legal sense, and you cannot make promises on our behalf.
- Our total liability to you under these terms is limited to the commission you have earned and we have not yet paid.
- Nothing in these terms limits liability that cannot be limited by law.
13. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
